Acceptable Use Policy

Ayla Networks, Inc. (“Ayla”) provides its Services to you subject to this Acceptable Use Policy (“AUP”) and its Terms of Service (“TOS”). Capitalized terms used in this AUP will have the meaning set forth in the TOS. If you do not agree with this AUP, you may not use the Services.
1. Code of Conduct.
In accessing and using the Services, you agree to abide by the following rules, restrictions, and limitations:
You will not modify, adapt or alter the Services.
You will not disseminate or transmit viruses, worms, Trojan horses, keyboard loggers, time bombs, spyware, adware, cancelbots, passive collection mechanisms, or any other malicious or invasive code or program or upload or transmit (or attempt to upload or to transmit) any material that acts as a passive or active information collection or transmission mechanism, including, without limitation, clear gifts, pixels, web bugs, cookies or other similar devices.
You will not use the Services in any manner that could damage, disable, overburden, impair or otherwise interfere with or disrupt the Services or any networks or security systems of Ayla or its service providers, or otherwise interfere with other users’ use of the Services.
You will not use the Services to gain unauthorized access to Ayla’s or any third party’s data, systems, or networks.
You will not interfere with or circumvent any security feature or any feature that restricts or enforces limitations on the use of, or access to, the Services.
You will not use any data mining software, robots, spiders, or similar data gathering and extraction tools to retrieve, index, “scrape,” “data mine,” or in any way gather content or data from the Services or otherwise circumvent the navigational structure or presentation of the Services.
You will not probe, scan, or test the vulnerability of any system or network or breach or circumvent any security or authentication measures of the Services.
You will not use the Services to violate the security of any computer network or to transfer or store illegal material.
You will not transmit the messages, communications, or other content (or links thereto): (a) which is offensive as based on a person’s age, color, race, national origin, gender identity, sexual preference, or disability; (b) which is unlawful, hateful, violent, racist, libelous, defamatory, profane, obscene, indecent, pornographic, sexual or otherwise objectionable content or language; (c) which is fraudulent or deceptive or violates consumer protection laws of any jurisdiction; (d) which creates an imminent risk to a person’s safety or health, creates a risk to public safety or health, compromises national security or interferes with an investigation by law enforcement; (e) which promotes or solicits illegal activities and products, including illegal drugs, illegal gambling or illegal arms trafficking.
You will not defame, libel, ridicule, mock, disparage, threaten, harass, intimidate or abuse another user of the Services or other third party or violate any rights of another user or other third party, including intellectual property rights, rights of publicity and privacy rights.
You will not create or transmit unwanted electronic communications such as “spam,” to other users of the Services.
You will not use the Services to distribute software that covertly gathers, uses, or transmits information that identifies or can be used to identify an individual.
You will not monitor data or traffic on Ayla’s or any third party’s network or system without the express authorization of the owner of the system or network.
You will not attempt to impersonate another person.
You will not disparage Ayla or the Services.
You will comply with all applicable laws in your use of the Services, including the laws of your country if you live outside of the United States of America.
2. Our Monitoring and Enforcement
Ayla reserves the right but does not assume the obligation, to investigate any violation of this AUP or any misuse of the Services. Ayla may:
investigate violations of this AUP or any misuse of the Company Software or Services; or
remove, disable access to, or modify any content or resource that violates this AUP, the TOS, or any other agreement Ayla has with you governing your use of the Services.
Ayla may report any activity that it suspects violates any law or regulation to appropriate law enforcement officials, regulators, or other appropriate third parties. Our reporting may include disclosing appropriate customer information. Ayla also may cooperate with appropriate law enforcement agencies, regulators, or other appropriate third parties to help with the investigation and prosecution of illegal conduct by providing network and systems information related to alleged violations of this AUP, the TOS, or any other agreement Ayla has with you.
3. Reporting of Violations of this Policy
If you become aware of any violation of this AUP or TOS, you will immediately notify us and provide us with assistance, as requested, to stop or remedy the violation.
